Social Media Terms and Conditions for Orbitz Worldwide, LLC

By posting, sharing, tagging, responding to or communicating with us or via our official brand presence, utilizing our branded hashtags, or otherwise making available any photograph, video, text, or any other materials (collectively,“Content”) on the social media pages of any brand in the Orbitz Worldwide, LLC family of brands (including, without limitation, Orbitz, CheapTickets, HotelClub, and ebookers) (collectively, “Orbitz”), you are agreeing that (1) you are at least eighteen (18) years of age, (2) you have the right to post the Content, (3) you have obtained all consents, and possess all copyright, patent, trademark, trade secret, and any other proprietary rights, or the necessary licenses thereto, to grant the license herein, (4) Orbitz can use the Content as provided below, and (5) you have read, understood, agree with, accept, and will abide by all of these Terms and Conditions.  For purposes of these terms and conditions, an Orbitz social media page shall include any Orbitz-branded page on a third party public social media site, including but not limited to Facebook, Twitter, Pinterest, Instagram, Google+, Tumblr, as well asany other similar social media platforms that exist now or may exist in the future.

You irrevocably grant Orbitz Worldwide, LLC and its parent companies, affiliates, licensees, and assigns a non-exclusive, royalty-free, perpetual, unrestricted, fully sub-licensable, fully paid-up, worldwide right and license to use, copy, reproduce, modify, edit, adapt, translate, create derivative works of, publish, post, distribute, transmit, publicly perform, sublicense, or otherwise provide to others your Content and your name, voice, and/or likeness as contained in your Content, in whole or in part and in any media, formats, channels, and technologies, whether now known or hereafter discovered, for any purpose, including all promotion, advertising, marketing, merchandising, publicity, and any other ancillary uses thereof, and including the unfettered right to sublicense such rights, in perpetuity throughout the universe.

Additionally, Orbitz may, but is not required to, credit you as the author/source of the Content by referring to your social media platform handle or identifier.  Orbitz may use (or not use, or delete after using) ideas, suggestions, or any other material in your Content without any attribution or compensation to you.

By sending or otherwise providing Orbitz Content, you represent and warrant that the Content does not violate or infringe any rights of any third party, including without limitation copyright, trademark, rights of publicity and privacy. If any third-party content is included in your posted Content, you must obtain permission from the content owner and attribute/credit such content to the owner.  If any photograph, video, or other Content contains images of someone other than yourself, you represent and warrant that you have obtained permission from such individuals to share the Content with us and to grant us the license described herein, including the right to use such individuals’ names, voices, and/or likenesses as contemplated herein.

Orbitz reserves the right in its full and sole discretion to remove any posted Content for any reason or no reason at all.

You agree to hold Orbitz and its parent companies, affiliates, agents, and licensees (collectively, “Indemnitees”) harmless, and defend and indemnify the Indemnitees from any claim, disputes, demands, proceedings, causes of action, judgments, damages, liabilities, losses, costs, or expenses of any kind and nature, including attorneys’ fees, known and unknown, suspected and unsuspected, disclosed and undisclosed, which may arise out of or are in any way connected with your posted Content, your use of Orbitz’s official brand presence on social media pages, and/or your violation of these Terms and Conditions.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Illinois without giving effect to principles of conflict of laws.  By sharing Content, you agree that any dispute arising out of these Terms and Conditions or Orbitz’s use of the Content shall be adjudicated in the courts in the State of Illinois, and you expressly consent to personal jurisdiction therein.
